This agreement is between Cox's Bazar Surf Hub Ltd., a private limited company registered in Bangladesh (RJSC C-208654/2026, Trade Licence TRAD/DNCC/049701/2025), registered office Plot 34, Main Road 3, Block D, Section 11, Pallabi, Mirpur, Dhaka 1216 ("the Hub", "we", "us"), and the person who buys a Founders membership ("the Member", "you"). The Member's name, contact details, nominee, founder number and payment reference are recorded at sign-up and printed on the Member's signed copy.
1.1 The Founders membership is a lifetime membership of the Hub's surf, fitness and leisure club. It is limited to 150 members and each one carries a founder number.
1.2 It is not a share in Cox's Bazar Surf Hub Ltd. It gives no ownership, no share of profits, no dividend and no vote in the company.
1.3 The membership is for one person, the Member. It cannot be shared or lent.
2.1 Enrolment fee: ৳2,99,999, paid once. It can be paid online by card or internet banking through our payment gateway, SSLCOMMERZ, or by bank transfer to the Hub's company account. Bank details are sent with the Member's payment reference and are never sent from a personal account. Members paying from abroad may pay in US dollars at the bank's rate on the day of payment.
2.2 When the Member signs up online, their founder number is held for 7 days. If payment has not arrived within 7 days, the number is released to the next person and no fee is due.
2.3 No monthly fees until 2031: no monthly fee is charged until 31 December 2030.
2.4 From 1 January 2031, the monthly fee is ৳2,499. This rate is fixed for the life of the membership and will not increase, including after a transfer under clause 7.
2.5 Monthly fees are paid in advance by the 7th of each month, or for a full year in advance if the Member prefers.
2.6 If a monthly fee is unpaid for 30 days, the membership is paused until it is paid. If fees remain unpaid for 90 days after we have reminded the Member in writing, we may end the membership under clause 11.
2.7 All payments are made to the company only. No staff member may accept cash for this membership.
3.1 The Member receives the benefits listed in Schedule A. Benefits marked "from 2028" start when the Hub building opens. All other benefits start on the day payment is confirmed.
3.2 Free gym: the Member has open gym access, free of charge, during the Hub's opening hours. Classes, yoga, recovery (ice bath and sauna) and personal training are not free; they are at 40% off.
3.3 40% discount: the Member receives 40% off the Hub's standard published prices for surf sessions, Coastal Safaris, classes, yoga, recovery, personal training, the Surf Kitchen restaurant and everything sold in the Hub surf shop, for the life of the membership.
3.4 The 40% discount is for the Member's own use and that of their registered family add-ons. It cannot be combined with other offers or promotions, does not apply to bookings made through partners or third parties, and does not apply to private events or catering, which are quoted separately. Shop purchases are for personal use and not for resale.
3.5 Surf sessions and safaris are booked in advance and run only when our lifeguards judge the sea safe. Sessions cancelled for safety are rebooked or refunded.
3.6 Guest passes (10 a year) give one free gym visit each, do not carry over to the next year, and every guest signs our liability waiver before taking part.
3.7 We may change schedules, coaches, routes, menus and products. We will not remove free gym access or reduce the 40% discount for the life of the membership.
4.1 The Hub building is planned to open in 2028.
4.2 If the Hub building has not opened by 31 December 2029, the Member may ask in writing for a full refund of the enrolment fee. We pay it within 30 days of the request, the membership ends and the founder number returns to the Hub. The Member may instead keep the membership.
4.3 A Member who keeps the membership pays no monthly fee until the first day of the month after the building opens, even if that is after 1 January 2031. Every benefit that does not need the building continues in the meantime.
5.1 The Member may cancel within 14 days of payment by written notice and receive a full refund of the enrolment fee, provided no benefit has been used. The refund is processed within 10 working days, back to the way the Member paid.
5.2 After that, the enrolment fee is not refundable, except under clause 4.2, but the Member may transfer or sell the membership under clause 7.
6.1 When the Member ticks "I accept" at checkout, they agree to this version of the agreement (FMA-1.1). We record the version, date and time with the Member's payment reference.
6.2 When the Member collects their founder card, they sign a paper copy of the same agreement with two witnesses. If the two ever differ, the version accepted at checkout applies.
7.1 Before 1 January 2030: the Member may transfer the membership once, free of charge, to their spouse, child or parent.
7.2 From 1 January 2030: the Member may sell the membership to any person aged 18 or over, at a price agreed between the Member and the buyer.
7.3 To transfer or sell, the Member tells us in writing the buyer's name, NID or passport number and contact details. We confirm within 14 days. We may refuse only for a fair reason, for example if the buyer was previously removed from the Hub for misconduct, or if fees are unpaid.
7.4 A transfer fee of ৳10,000 is paid to the Hub before the transfer is completed (no fee for the free family transfer in 7.1). Any unpaid fees must be cleared first.
7.5 The founder number, the ৳2,499 monthly rate and every Schedule A benefit move to the new holder, who signs a copy of this agreement. The name on the founders wall is updated on request.
7.6 The sale price is a private matter between the Member and the buyer. The Hub does not promise that the membership will keep or gain any value, and the Hub does not buy memberships back. Any planned future price of new memberships is a plan, not a guarantee.
8.1 From 1 January 2031, the Member may pause the membership for up to 3 months in each calendar year, with 14 days' written notice. No monthly fee is charged during a pause.
9.1 The Member may add their spouse or children at half of the standard Flex Monthly rate at the time. Family add-ons are separate memberships, are not Founders memberships, and do not carry a founder number or transfer rights. Registered family add-ons receive the same 40% discount while their add-on membership is active.
10.1 Before using any service, the Member signs the Hub's liability waiver and follows the instructions of our lifeguards, coaches and staff at all times.
10.2 The Member follows the Hub's code of conduct. We may suspend access for up to 30 days for a safety breach or misconduct, after hearing the Member's side.
11.1 The Member may end the membership at any time by written notice. No part of the enrolment fee is refunded after the cooling-off period, except under clause 4.2.
11.2 We may end the membership by written notice for serious or repeated misconduct, violence, theft, fraud, or fees unpaid for 90 days after a written reminder. In that case no refund is due, and the founder number returns to the Hub.
12.1 If the Member dies, the membership passes to the nominee recorded at sign-up, or to the Member's legal heir if no nominee is named, with no transfer fee.
13.1 We use the Member's details only to run the membership, as set out in our Privacy Policy. The Member's name appears on the founders wall unless the Member asks us in writing to leave it off.
14.1 This agreement is governed by the laws of Bangladesh.
14.2 Both sides will first try to settle any dispute by discussion within 30 days. If that fails, the dispute goes to arbitration in Cox's Bazar under the Arbitration Act 2001, with one arbitrator agreed by both sides.
15.1 This agreement, its schedule, our Membership Terms and the liability waiver are the whole agreement between the Member and the Hub about the Founders membership. Any change must be in writing and signed by both sides.
15.2 This agreement is made in English and Bangla. If the two versions differ, the English version applies.
